General Terms
These Terms of Service govern your access to and use of NuraTflow services related to smart enterprise AI implementation. By using our site or contracting for services you accept these terms. We advise reading them carefully and seeking independent advice where appropriate.
Eligibility
Use of NuraTflow services is available only to businesses and professionals who can enter into legally binding contracts under applicable law. By engaging our services you represent that you meet eligibility requirements and have authority to bind the organization.
Individuals must be of legal working age in their jurisdiction and possess the capacity to engage in business contracts on behalf of their organization.
Services must be used for lawful purposes. You must not use NuraTflow offerings in ways that violate applicable laws, infringe rights, or cause harm to others.
Access to certain services may be restricted in jurisdictions where export controls, sanctions or local regulations prohibit provision of those services. It is your responsibility to ensure lawful use in your jurisdiction.
Account and Access
Some services require an account. You are responsible for maintaining accurate account information and for all activities occurring under your account.
Provide truthful, current and complete information when creating or updating your account. Failure to do so may result in suspension or termination.
Protect your credentials and implement appropriate security measures. Notify us promptly if you suspect unauthorized access to your account.
Accounts are for your organization’s exclusive use and may not be transferred without our consent.
If you believe your account has been compromised, contact our support team immediately so we can take appropriate protective measures.
We reserve the right to suspend or terminate accounts that violate these terms, present security risks, or are subject to fraudulent activity, with notice where practicable.
Services
NuraTflow delivers consultancy, integration, and managed services for enterprise AI. Service descriptions and deliverables are set out in proposals, statements of work, or contracts executed between you and NuraTflow.
We may modify service features, tooling or delivery methods based on evolving technology and client needs. Significant changes that materially affect contracted deliverables will be communicated and handled through change control procedures.
We strive for high availability but do not promise uninterrupted service. Scheduled maintenance and reasonable downtime may occur; we will communicate planned outages where feasible.
User Responsibilities
When using our services you must adhere to the following rules and conduct expectations.
- Comply with all applicable laws and industry regulations in your use of the services.
- Use provided tools and outputs in a manner consistent with ethical, safety, and privacy practices.
- Refrain from attempting to reverse-engineer or otherwise misuse our systems and intellectual property.
- Provide accurate input data and disclose material constraints that may affect project outcomes.
- Implement recommended governance and security controls for deployed AI systems within your organization.
- Cooperate with reasonable requests for information needed to deliver contracted services.
- Avoid submitting personal data of third parties unless you have lawful basis and appropriate rights to process it.
User Content
User Content refers to data, documents, inputs and other materials you provide in connection with our services.
You retain ownership of your pre-existing content. For content created jointly during engagement, ownership and rights will be defined in the applicable agreement.
By providing content you grant NuraTflow a non-exclusive, limited license to use, copy, store and process that content solely to provide the agreed services and to improve operational processes, subject to confidentiality commitments.
You are responsible for ensuring that user content does not infringe third-party rights and complies with applicable laws. You must obtain any necessary consents for data provided to us.
Upon termination of services we will handle retention or deletion of user content per contractual terms and applicable legal requirements.
Intellectual Property
NuraTflow retains ownership of its pre-existing intellectual property, including methodologies, models, templates, tools and documentation. Client-specific deliverables and custom models can be licensed or assigned as set out in the contract.
- You may not reproduce, distribute or create derivative works from NuraTflow proprietary materials except as permitted by contract.
- Reverse engineering of software or models provided by NuraTflow is prohibited.
- Use of NuraTflow branding and activity requires prior written consent.
Paid Services
Certain services are fee-based. Fees, billing intervals and payment terms are specified in the relevant agreement or order form.
Pricing is based on scope, resources and deliverables. Estimates provided are subject to change if scope or requirements evolve and will be addressed through documented change requests.
Payments are due per invoicing terms. Late payments may incur interest or suspension of services. Accepted payment methods will be specified in contracts.
Subscription services are billed as outlined in the order. Renewal terms, termination rights and any trial periods are specified in the subscription agreement.
Refunds, if any, are handled in accordance with the contract and our cancellation policy. We assess each case based on delivered work and commitments performed.
Cancellation terms vary by service. Notice requirements and potential fees for early termination are defined in the applicable agreement.
Clients are responsible for any taxes or duties imposed in connection with payments, unless otherwise stated. NuraTflow will invoice taxes as required by law.
We may adjust pricing for future renewals to reflect cost changes or expanded services, subject to notice in advance of renewal.
Continued non-payment may result in suspension, termination, and recovery actions to collect outstanding amounts.
Disclaimer
To the extent permitted by applicable law, NuraTflow provides services and materials on an as-is basis and does not make representations about specific business outcomes. Recommendations are based on available information and professional judgment.
Limitation of Liability
Except as required by law, NuraTflow’s total aggregate liability arising from or related to services shall be limited to amounts paid for the relevant services during the twelve months preceding the claim. We are not liable for indirect, incidental or consequential losses.
Third-Party Tools and Services
Our solutions may integrate third-party tools or services that are subject to their own terms and privacy policies. NuraTflow is not responsible for external providers’ performance or content.
Termination
Either party may terminate an agreement in accordance with the notice and cause provisions specified in the contract. Termination does not affect accrued rights or obligations.
Upon termination, outstanding fees, return or deletion of data, and transition assistance will be handled per the agreement. Confidential information must continue to be protected as specified.
Privacy
Processing of personal data is governed by our Privacy Policy. When engaging NuraTflow you agree to the collection and processing of data as described in that policy for the purposes of delivering services.
Communications
We will communicate important information regarding services, security, and legal matters via email or other reasonable channels. It is your responsibility to maintain current contact details.
Changes to Terms
We may update these terms to reflect legal or operational changes. Material changes will be communicated reasonably. Continued use of services after changes indicates acceptance of the revised terms.
Governing Law
These terms are governed by and construed in accordance with the laws of Malaysia, without regard to conflict of laws rules, to the extent permitted by applicable mandatory law.
Dispute Resolution
Parties will first attempt to resolve disputes through good faith discussions. If unresolved, disputes may be referred to mediation or arbitration as specified in the contract or, if unavailable, brought before competent courts in Malaysia.
